Customer Terms of Service (EULA)

Buyer / Consumer Agreement

1. Acceptance of Terms

By accessing or using the ClickDinner platform ("ClickDinner," "Platform," "we," "us"), including browsing, ordering, or consuming food, you ("User," "Customer," "Buyer") agree to be legally bound by these Terms.

If you do not agree, do not use the Platform.

2. Nature of the Platform

CRITICAL CLAUSE

  1. ClickDinner is a technology marketplace only.
  2. ClickDinner:
    • does not prepare, cook, handle, store, inspect, package, or deliver food;
    • does not verify vendor kitchens, ingredients, hygiene, or compliance;
    • does not employ or control Vendors;
    • is not a restaurant, caterer, or food service provider.
  3. All food is offered and provided solely by independent third-party Vendors.

👉 Transactions occur directly between Buyers and Vendors.

3. Acknowledgment of Food Risk

By using ClickDinner, you explicitly acknowledge and agree that:

  1. Food may be prepared in private or non-commercial kitchens.
  2. Food may not be inspected or approved by health authorities.
  3. There may be risks including, but not limited to:
    • foodborne illness
    • allergic reactions
    • cross-contamination
    • mislabeling
    • late or failed delivery
    • unsanitary conditions

You voluntarily assume all risks associated with ordering and consuming food via the Platform.

4. Allergies, Dietary Needs & Health

  1. You are solely responsible for:
    • reviewing ingredient disclosures,
    • communicating allergies or dietary needs directly to Vendors,
    • deciding whether food is safe for you to consume.
  2. ClickDinner does not guarantee:
    • allergen-free food,
    • accuracy of ingredient lists,
    • suitability for any medical or dietary condition.

5. No Warranties

To the maximum extent permitted by law, ClickDinner provides the Platform:

  • "AS IS"
  • "AS AVAILABLE"
  • WITH ALL FAULTS

ClickDinner disclaims all warranties, express or implied, including:

  • merchantability,
  • fitness for a particular purpose,
  • safety,
  • quality,
  • accuracy,
  • reliability,
  • non-infringement.

6. Limitation of Liability

(Airbnb / Uber Style)

To the fullest extent permitted by law:

  1. ClickDinner shall not be liable for:
    • food poisoning, illness, injury, or death,
    • allergic reactions,
    • property damage,
    • emotional distress,
    • lost profits,
    • delivery failures,
    • vendor misconduct,
    • misrepresentation by Vendors,
    • disputes between Users.
  2. If ClickDinner is found liable despite the above, liability is strictly limited to the lesser of:
    • the amount of fees you paid to ClickDinner in the prior 12 months, or
    • USD $10 (or local equivalent).

7. Release of Claims

You hereby release, waive, and forever discharge ClickDinner and its owners, officers, employees, and affiliates from any and all claims arising out of or related to:

  • food ordered or consumed,
  • acts or omissions of Vendors,
  • platform use,
  • transactions facilitated through ClickDinner.

8. Indemnification

You agree to indemnify and hold harmless ClickDinner from any claims, damages, losses, or expenses (including legal fees) arising from:

  • your use of the Platform,
  • your interactions with Vendors,
  • your violation of these Terms,
  • any claim brought by a third party related to your conduct.

9. Payments, Refunds & Chargebacks

  1. ClickDinner does not guarantee refunds.
  2. Vendors control fulfillment; ClickDinner is not responsible for:
    • late delivery,
    • missing items,
    • dissatisfaction.
  3. Chargebacks may result in account suspension or termination.

10. No Agency or Partnership

Nothing in these Terms creates:

  • employment,
  • agency,
  • partnership,
  • joint venture,
  • fiduciary relationship

between you and ClickDinner or any Vendor.

11. Data & Platform Intelligence

Your use of ClickDinner is also governed by the Data & Content Rights Addendum, which grants ClickDinner broad rights to use platform-generated data, analytics, and derived insights, subject only to mandatory privacy laws.

12. Arbitration & Class Action Waiver

PLEASE READ CAREFULLY — THIS AFFECTS YOUR RIGHTS

  1. All disputes with ClickDinner shall be resolved by binding individual arbitration.
  2. No class actions, collective actions, or representative actions are permitted.
  3. Governing law:
    • US Users → New York law
    • UK Users → England & Wales law
    • Israeli Users → Israeli law
    • Others → ClickDinner entity jurisdiction

13. Account Termination

ClickDinner may suspend or terminate your account at any time, for any reason, without liability.

14. Changes to Terms

ClickDinner may modify these Terms at any time. Continued use constitutes acceptance.

15. Severability

If any provision is found unenforceable, the remainder remains in full force.

16. Entire Agreement

These Terms constitute the entire agreement between you and ClickDinner.
